Part B - Terms Applicable to Distributor Partners

1. Definitions
Distributor Partner: A business entity operating within or connected to Stage Meta’s target industries, actively selling Stage Meta’s services to potential business partners in exchange for revenue-sharing incentives.
Stage Meta: Stage Technology Inc., operating under the commercial brand name "Stage Meta."
Products and Services: As defined in Part A.
Revenue Sharing Model: A compensation structure in which the distributor partner earns a percentage of revenue from each successful sale or subscription they generate.
Target Industries: The Partner Program is designed for distributors servicing or working directly with target industries such as hotels and hospitality, tourism and entertainment, real estate, and commercial & residential construction.
Target Regions: Distributors operate within designated regions as agreed upon with Stage Meta.
Partner Dashboard: The internal administrative page available at stagemeta.partner.com/login, enabling partners to manage their partner account, access go-to-market tools, and other administrative functions.
2. User Credentials
Distributor partners are responsible for securing and maintaining the confidentiality of their user credentials and ensuring all authorized users comply with the same standard.
User credentials may not be sold, transferred, or shared with any other person or business entity.
Any suspected unauthorized access must be reported to Stage Meta immediately.
Distributors are responsible for managing their user credentials and authorized account administrators.
3. Account Data
Distributors must provide and maintain accurate account information, including billing and payment details, throughout the subscription period.
Stage Meta may request additional information as needed to maintain compliance with regulatory and business requirements.
Distributors must furnish such requested information in a timely manner.
4. Distributor Responsibilities
Distributors are responsible for executing marketing activities, lead generation, and conversion through various channels, including digital advertising and customer engagement.
Distributors bear sole responsibility for identifying, sourcing, and converting leads into paying customers. Stage Meta assumes no obligation for sourcing potential clients on behalf of the distributor within the specified industry and region.
Distributors must follow up on leads that fail to complete payment and ensure payments are fulfilled.
If a client cancels payment, the distributor will not receive an incentive for that transaction.
Distributors must comply with ethical marketing practices and all applicable laws and regulations.
5. Pricing, Payments & Revenue Sharing
Pricing for products is determined by Stage Meta and must be adhered to by the distributor.
Payments follow a revenue-sharing model based on sales volume.
Revenue share percentage and payment terms will be outlined in a separate annexure agreed upon by both parties.
6. Intellectual Property Rights
Stage Meta retains full ownership of all intellectual property, including trademarks, trade names, and proprietary technology.
Distributors may use Stage Meta’s branding materials solely for promotional and marketing purposes.
7. Term & Termination
Participation in the Partner Program shall be for a term of 12 months unless terminated earlier by mutual agreement.
Upon mutual termination, all pending transactions must be settled, and open customers transferred to another active distributor to ensure service continuity.
Stage Meta reserves the right to terminate the partnership immediately if the distributor fails to meet performance or compliance standards.
8. Confidentiality
Both parties shall maintain the confidentiality of proprietary information exchanged during the partnership.
This obligation shall remain in effect for at least one year following the termination of the agreement.
9. Dispute Resolution
Disputes related to this program shall first be resolved through negotiation.
If unresolved, disputes shall be settled through arbitration in Toronto, Canada.
10. General Provisions
This document constitutes Part B of the Stage Meta Partner Program.
Amendments must be agreed upon in writing by both parties.
This agreement shall be governed by the laws of Canada.
11. Final Provisions
This agreement is available on the Stage Meta website and applies to all business and distributor partners.
Continued participation in the program constitutes acceptance of these terms.
